Terms of Service
These Terms of Service describe the general terms under which Fish & Owl Holdings offers business management and strategic consulting services. They are intended to supplement, not replace, any project-specific proposal, statement of work, invoice, confidentiality agreement, or other written engagement terms. If a project-specific written agreement conflicts with these Terms of Service, the project-specific agreement controls for that engagement.
1. Services
Services may include Business Strategy Consulting, Operational Management Consulting, Business Process Optimization, Project Management & Coordination, Asset & Resource Management Support, Vendor & Contractor Coordination, and Business Performance Analysis. Engagements may be project-based or ongoing and are generally delivered remotely.
2. Published Project Fees
- Business Strategy Consulting — $2,500/project
- Operational Management Consulting — $2,250/project
- Business Process Optimization — $2,000/project
- Project Management & Coordination — $2,500/project
- Asset & Resource Management Support — $2,250/project
- Vendor & Contractor Coordination — $1,750/project
- Business Performance Analysis — $1,500/project
Published fees apply to the service as described on the website. A materially different scope, extended timeline, unusually complex requirements, additional deliverables, or ongoing support may require a revised fee confirmed before the additional work begins.
3. Scope and Deliverables
The specific scope, deliverables, responsibilities, schedule, assumptions, and client inputs should be confirmed before work starts. Services outside the agreed scope are not automatically included. Changes may require a written adjustment to scope, timing, or fees.
4. Client Responsibilities
Clients are responsible for providing accurate and timely information, access, decisions, approvals, and points of contact that are reasonably necessary for the engagement. Delays in client-provided information or approvals may affect schedules and delivery dates.
5. Advisory Nature of Services
Consulting recommendations are based on the information available, the agreed scope, professional judgment, and the business context presented by the client. Fish & Owl Holdings does not guarantee revenue, profit, funding, market share, operational savings, vendor performance, investment returns, regulatory outcomes, or any other specific business result. The client remains responsible for final business decisions and implementation choices unless a written scope expressly assigns a specific implementation responsibility to the company.
6. Vendor and Contractor Coordination
When the company coordinates with third-party vendors or contractors, it may assist with communications, deliverables, timelines, documentation, and status tracking. Unless expressly stated in writing, Fish & Owl Holdings does not become the employer, guarantor, insurer, or principal of those independent third parties and does not guarantee their work, availability, pricing, conduct, or performance.
7. Asset and Resource Support
Asset & Resource Management Support is management and organizational support. It does not constitute regulated investment management, securities advice, custody of financial assets, legal advice, tax advice, brokerage, fiduciary investment services, or other licensed financial services unless expressly stated in a separate legally compliant engagement.
8. Confidentiality
Business information received during an engagement should be handled with reasonable care and used for the purpose of performing the work. More detailed confidentiality obligations may be set out in a separate agreement. Clients should identify unusually sensitive information and avoid transmitting credentials or secrets through ordinary website forms.
9. Fees, Invoices, and Payment
Payment timing, deposits, invoice dates, and accepted payment methods may be stated in a proposal or invoice. The Payment Policy forms part of these Terms of Service. Work may be paused if an undisputed payment becomes materially overdue, subject to any project-specific agreement.
10. Cancellation and Refunds
Cancellation and refund treatment is described in the Cancellation & Refund Policy and may also be addressed in the project-specific terms. Because consulting work involves time, analysis, planning, and reserved capacity, fees attributable to completed work are generally not refundable.
11. Intellectual Property and Work Product
Ownership and permitted use of project-specific deliverables should be stated in the applicable engagement terms. Unless otherwise agreed, pre-existing methods, know-how, general templates, tools, processes, and non-client-specific materials remain with their original owner. Clients are responsible for ensuring they have rights to materials they provide for use in the engagement.
12. Suspension or Termination
An engagement may be suspended or terminated when required by the written project terms, when a material obligation is not met, when continuing the work would be unlawful or unsafe, or by mutual agreement. Payment obligations for work already performed remain due unless otherwise agreed in writing.
13. Limitation of Liability
To the extent permitted by law, liability arising from a consulting engagement is limited according to the applicable written agreement. In the absence of a separate limitation, Fish & Owl Holdings will not be responsible for indirect, incidental, special, consequential, exemplary, or punitive damages, or for losses caused by inaccurate client information, third-party failures, market conditions, or decisions made outside the agreed scope. This provision does not exclude liability that cannot legally be limited.
14. Governing Law
Unless a written engagement states otherwise, these Terms of Service are governed by applicable laws of the State of Wyoming.
